By accessing or using the Willowfield Enterprises website ("Site"), trading platform, or any of our brokerage services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you (individually or on behalf of the entity you represent) and Willowfield Enterprises ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

Willowfield Enterprises provides commodity brokerage services, market data and analysis, and trading technology solutions for the protein and meat industry. Our Services include, but are not limited to:

• Commodity brokerage for beef, pork, poultry, lamb, and veal products
• Spot market and contract trading facilitation
• Market data aggregation and display, including USDA report data
• AI-powered market analysis, price forecasting, and trading signals
• Customer relationship management and communication tools
• Price list generation and distribution
• Newsletter and market brief publications

All brokerage transactions are conducted on a best-efforts basis. We act as an intermediary between buyers and sellers and do not take ownership or possession of any commodities traded through our services.

Certain features of our Services require account registration. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

All trades facilitated through Willowfield Enterprises are subject to the following terms:

• No Guarantee of Execution: While we make best efforts to facilitate trades at requested prices and quantities, we cannot guarantee that any particular trade will be executed.
• Market Data: Market data, pricing information, forecasts, and analysis provided through our platform are for informational purposes only and should not be construed as trading advice or guarantees of future performance.
• Trade Confirmation: All trades are subject to written confirmation by both buyer and seller. Verbal agreements made through our brokerage services are binding and will be followed by written confirmation.
• Commissions: Our brokerage commission structure is disclosed to clients prior to trade execution. Commission rates may vary based on product type, volume, and contractual arrangements.
• Credit and Payment: Trade settlement terms are established between buyer and seller. Willowfield Enterprises is not responsible for the creditworthiness of trading counterparties, though we conduct reasonable due diligence on our trading partners.
• Disputes: In the event of a trade dispute, parties agree to work with Willowfield Enterprises in good faith to reach a resolution. For disputes that cannot be resolved informally, the dispute resolution provisions of these Terms shall apply.

Our platform provides market data sourced from the USDA, CME, and other public sources, as well as AI-generated analysis and forecasts. Regarding this information:

• No Investment Advice: Nothing on our platform constitutes financial, investment, or trading advice. All market data, analysis, forecasts, buy/sell signals, and recommendations are provided for informational purposes only.
• No Guarantee of Accuracy: While we strive for accuracy, we make no representations or warranties regarding the accuracy, completeness, or timeliness of market data, AI-generated content, or any other information provided through our Services.
• AI Limitations: AI-generated content, including price forecasts, market briefs, and trading signals, is produced by machine learning models that may contain errors, biases, or inaccuracies. Users should exercise independent judgment and not rely solely on AI-generated information for trading decisions.
• Third-Party Data: Market data sourced from third parties (including USDA and CME) is subject to the terms and conditions of those data providers. We are not responsible for errors or interruptions in third-party data feeds.

All content, materials, and technology comprising the Services are the intellectual property of Willowfield Enterprises or our licensors. This includes, but is not limited to:

• The Willowfield Enterprises name, logo, and branding
• Website design, layout, and user interface elements
• Trading platform software, algorithms, and proprietary analytics
• AI models, market analysis methodologies, and generated content
• Original written content, including market commentary and newsletters
• Database compilations and data organization structures

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our intellectual property without prior written consent. Limited use of market data and reports is permitted for your internal business purposes only.

You retain ownership of any data or content you submit through our platform, but grant us a non-exclusive license to use such data as necessary to provide and improve our Services.

When using our Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the platform, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Scrape, crawl, or use automated tools to extract data from the platform without our express written permission
• Redistribute, resell, or commercially exploit market data or platform content without authorization
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Transmit any viruses, malware, or other harmful code through the platform
• Use the Services in any manner that could damage, disable, or impair our systems

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

WILLOWFIELD ENTERPRISES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO WILLOWFIELD ENTERPRISES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR LOSSES RESULTING FROM:

• Trading decisions made based on information provided through our platform
• Inaccuracies in market data, AI-generated content, or forecasts
• Failures or delays in trade execution
• Actions or omissions of trading counterparties
• Service interruptions, technical failures, or data loss
• Unauthorized access to your account due to your failure to maintain credential security

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Willowfield Enterprises and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the platform
• Your trading activities facilitated through our Services

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees owed to Willowfield Enterprises
• Extended periods of inactivity
• Requests from law enforcement or government agencies

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property rights, limitation of liability, indemnification, and dispute resolution provisions.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Palm Beach County, Florida.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Willowfield Enterprises regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or technical failures.
